During the term of Three P's assignment and in the
course of work, Three P may receive or otherwise be exposed to the
clients' business practices, strategies and technologies or that of
the clients' customers. Such proprietary and confidential information
may include but not be limited to the clients' or their customer's
marketing and client support strategies, to the clients' financial
information including sales, costs, profit and pricing methods, to the
clients' or their customer's internal organization, employee list and
client list, to the clients' efforts and to all derivatives,
improvement and enhancements to any of the above (which improvements,
derivations and enhancement may be created or developed by the
clients' during the period of Three P's consultancy) and all of which
are collectively referred to as "information".
Three P acknowledges the confidential and secret
character of the information, and agrees that the information is the
sole, exclusive and extremely valuable property of its clients.
Accordingly, Three P agrees not to reproduce any of the information
without the clients' prior written consent, not to use the information
except in the performance of the work, and not to divulge all or any
part of the information in any form to any third party, either during
or after the term of their assignment. Upon termination of the
assignment for any reason including expiration of term, Three P agrees
to cease using and return to the clients' all whole and partial copies
and derivatives of such confidential and proprietary information. |
